1. Agreement
These terms are an agreement between you and Lucid Ventures LLC (doing business as ROME Intelligence, “ROME,” “we”), based in St. Louis, Missouri. By accessing the ROME website, demo, or platform, you agree to them. If you are using ROME on behalf of a business, you represent that you can bind that business. Where a signed order form or master agreement exists, it controls over these terms.
2. The service
ROME turns a restaurant’s point-of-sale and operational data into profit-leak audits, forecasts, action plans, and a conversational advisor. The publicly accessible demo environment runs on synthetic sample data shaped like a real restaurant’s exports — it demonstrates the product’s real capabilities but does not describe any actual business.
3. Accounts and access
Access codes, logins, and admin credentials are for the people they were issued to. You are responsible for keeping them confidential and for activity under them. We may suspend access that we reasonably believe is compromised or abusive.
4. Your data
You own the data you connect or upload, and the guest relationships it reflects. You grant us a limited license to host and process it solely to provide and secure the service. Our privacy commitments — including no selling or sharing, encryption at rest, field-level encryption of guest identity data, and tenant isolation — are described in the Privacy Policy, which is part of these terms.
5. Acceptable use
You agree not to: attempt to access another tenant’s data; probe, disable, or circumvent security or access controls; resell or sublicense access without our written agreement; upload data you lack the right to process; or use the service to violate law, including consent requirements for guest marketing.
6. Findings are estimates
ROME’s audits, forecasts, and recommendations are computed from your data using stated methods, and every figure is traceable to its inputs. They are estimates for decision support — not accounting, financial, or legal advice — and we do not guarantee that any identified opportunity will be recovered. Measured outcomes shown in the product are observed correlations, labeled as such.
7. Fees
Paid plans are as agreed in the applicable order form. The demo environment is free. We may change pricing for future terms with notice; changes never apply retroactively.
8. Intellectual property
We own the platform — its software, analytics methods, and interfaces. You receive a right to use it, not ownership of it. Feedback you choose to give us may be used to improve the product without obligation.
9. Disclaimers and limitation of liability
The service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the same extent, neither party is liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the fees you paid us in the twelve months before the claim arose (or one hundred dollars if you paid none). Nothing here limits liability that cannot be limited by law.
10. Termination
You may stop using the service at any time. We may suspend or terminate access for material breach of these terms that goes uncured after notice. On termination of a customer relationship, we delete or return customer data as described in the Privacy Policy.
11. Governing law; changes; contact
These terms are governed by the laws of the State of Missouri, without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located in St. Louis County, Missouri. If we change these terms, we will update the date above and, for material changes, notify customers directly. Questions: rome@romeintel.com.
